These Terms of Service ("Terms") govern your use of Mentra-Synap's website and blockchain data verification services ("Services"). By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Service Description

Mentra-Synap provides blockchain-based data integrity verification services. Our platform allows users to verify data authenticity through cryptographic hashing, digital signatures, and distributed ledger recording. We are NOT a cryptocurrency service, payment processor, or financial institution.

1.1 Acceptable Use

You may use our Services only for lawful purposes and in compliance with these Terms. You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or harmful code
• Engage in unauthorized access or hacking attempts
• Harass, threaten, or abuse others
• Transmit spam, phishing, or deceptive content
• Infringe on intellectual property rights
• Interfere with service operations or security

2. Account Registration and Use

2.1 Account Creation

To use certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of unauthorized access
• Comply with all account-related policies

2.2 Account Termination

We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason. You may terminate your account at any time by contacting our support team.

3. Intellectual Property Rights

3.1 Our Intellectual Property

All content, features, and functionality of the Services (including but not limited to text, graphics, logos, and code) are the exclusive property of Mentra-Synap or its licensors and are protected by copyright, trademark, and other intellectual property laws.

3.2 Your Content

You retain all rights to data you submit for verification. By submitting data, you grant us a license to process, store, and verify that data as necessary to provide our Services. We do not claim ownership of your data.

3.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our website for lawful purposes. This license does not include the right to modify, distribute, or resell our Services.

4. Service Availability and Limitations

4.1 Service Availability

While we strive for high availability, we do not guarantee uninterrupted or error-free service. We reserve the right to perform maintenance, updates, or modifications that may temporarily interrupt service.

4.2 Platform Uptime

Professional and Enterprise plans include a 99.99% uptime SLA. The Starter plan does not include an SLA. For details on uptime guarantees, refer to your service agreement.

5. Fees and Payment

5.1 Pricing

Service pricing is displayed on our website and in your service agreement. Prices are subject to change with 30 days' notice. Changes do not apply to existing subscriptions until renewal.

5.2 Billing

Payment is due according to the billing cycle in your service agreement. We use secure payment processors and do not store complete credit card information on our servers.

5.3 Late Payment

Late payments may result in service suspension. We reserve the right to charge late fees at 1.5% per month on outstanding balances.

5.4 Free Trial

Free trials may be offered on certain plans. Trials are for evaluation purposes only. Your account may be terminated at the end of the trial period unless you convert to a paid plan.

6. Data Security and Responsibility

6.1 Data Encryption

We encrypt all data in transit using TLS 1.3 and at rest using AES-256 encryption. However, no security system is impenetrable, and we cannot guarantee absolute security.

6.2 User Responsibility

You are responsible for:

• Maintaining the security of your login credentials
• Ensuring your submissions comply with applicable laws
• Having appropriate backups of your data
• Reviewing audit trails and verification records

6.3 Data Loss

While blockchain records are immutable, user account data may be deleted. We recommend maintaining independent backups of critical data.

7. Limitation of Liability

Our total liability for any claim arising from these Terms shall not exceed the fees you have paid in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Mentra-Synap and its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of applicable laws
• Your infringement of third-party rights
• Data you submit for verification

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

10.2 Jurisdiction

You agree that any legal action or proceeding related to these Terms shall be subject to the exclusive jurisdiction of the courts in Ho Chi Minh City, Vietnam.

10.3 Arbitration

For enterprise customers, disputes may be resolved through arbitration rather than litigation. Arbitration will be conducted under the rules of the Vietnam International Arbitration Center.

11. Third-Party Services and Links

Our Services may integrate with or link to third-party services. We are not responsible for:

• The availability or accuracy of third-party services
• Third-party service providers' practices or policies
• Content or services provided by third parties

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective 30 days after posting. Your continued use of our Services constitutes acceptance of modified Terms. We will notify users of significant changes via email.

13. Termination

13.1 Termination by User

You may terminate your account at any time by contacting our support team. Upon termination, your right to use the Services ends immediately.

13.2 Termination by Mentra-Synap

We may terminate or suspend your account immediately for violations of these Terms or for any other reason at our discretion.

13.3 Effects of Termination

Upon termination, you forfeit access to your account and Services. However, blockchain records remain permanently recorded and accessible.

14. Compliance with Applicable Law

You agree to comply with all applicable laws, regulations, and requirements, including those related to data protection, export controls, and sanctions. You certify that you are not located in any jurisdiction where our Services are prohibited and that you are not subject to sanctions by any government authority.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mentra-Synap regarding your use of our Services and supersede all prior negotiations, understandings, and agreements.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
